Terms and Conditions

1. Parties and scope

These terms and conditions govern the relationship between Alchemy s.r.o. (Na baště sv. Tomáše 229/9, Prague 1, Czech Republic, Company ID: 23256281) as the provider and the client as the recipient of services.

The terms apply to the following categories of services: formation and administration of British companies, accounting and tax advisory, registered office services, identity verification (ACSP), legal and compliance advisory and related services.

2. Conclusion of the contract and orders

A contract for the provision of services is formed by the provider's written confirmation of the order (by e-mail or a signed contract). An order may be placed by e-mail, through the contact form or in person. The contract is concluded at the moment the provider sends confirmation of acceptance of the order.

3. Prices and payment terms

  • Prices are quoted in GBP (pounds sterling) or CZK as agreed, exclusive of VAT unless stated otherwise
  • Invoices are payable within 14 days of issue, unless agreed otherwise
  • Payment can be made by bank transfer to the provider's account
  • In the event of late payment, the provider is entitled to charge statutory default interest
  • The provider reserves the right to suspend the provision of services where payment is more than 30 days overdue

4. Scope of and exclusions from the services

The provider performs the services with professional care in accordance with applicable British and Czech legislation. The provider's services do not constitute legal advice within the meaning of the legislation governing the legal profession – for representation in court proceedings and the practice of law we recommend contacting a registered solicitor or attorney.

5. Client's obligations

  • To provide true and complete information necessary for the performance of the contract in good time
  • To cooperate with identity verification (KYC/AML) – the submission of documents is a statutory obligation
  • To inform the provider of changes that may affect the services provided (change of registered office, directors, business activities, etc.)
  • To comply with the British and Czech statutory obligations connected with running the company

6. Confidentiality and data protection

The provider maintains confidentiality regarding all information obtained from the client. The processing of personal data is governed by the Privacy Policy. The provider is obliged to pass information to the competent British (HMRC, Companies House) or Czech (tax administration) authorities to the extent required by law – in particular within AML obligations.

7. Liability for damage

The provider's total liability for damage arising in connection with a single engagement is limited to the amount of the price paid for that engagement. The provider is not liable for damage caused by incorrect or incomplete information supplied by the client, nor for changes in legislation after the conclusion of the contract.

8. Withdrawal and cancellation

  • The client may withdraw from the contract in writing (by e-mail) at any time before performance begins, free of charge
  • After performance has begun, a fee corresponding to the extent of the work already carried out will be charged
  • The provider may terminate the contract with immediate effect in the event of a breach of AML obligations or a serious breach of these terms by the client
  • Annual fixed-fee contracts may be terminated with 30 days' notice to the end of the billing period

9. Governing law and dispute resolution

These terms are governed by the law of Scotland and the United Kingdom. Disputes will preferably be resolved amicably. If no agreement is reached, the courts of Scotland have jurisdiction (for UK clients) or as chosen by the client (for Czech clients). A consumer client has the right to refer the matter to the competent out-of-court dispute resolution body.
